Terms & Conditions

1. Ownership and Intellectual Property

BPJ & Co (“the Company”) retains full legal ownership and all intellectual property rights in any materials, work, or deliverables (“Materials”) supplied to the Client until (i) full payment has been received and (ii) the Materials have been formally accepted by the Client.

2. Payment Terms

All invoices are payable upon receipt unless otherwise agreed in writing by the Company. Late payments may incur interest at the maximum rate permitted by law, and the Company reserves the right to suspend further services or delivery of Materials until payment is received in full.

3. Repossession and Recovery

In the event of non-payment, the Company reserves the right to repossess or remove any unpaid-for Materials. The Client shall be liable for all costs incurred in connection with such repossession, including but not limited to administrative, legal, and debt recovery fees.

4. Cancellations and Amendments

Cancellations made within forty-eight (48) hours of the agreed delivery date shall incur a handling and processing fee. Such fees shall be calculated to reflect the total costs incurred by the Company up to the point of cancellation, including labor, materials, and associated administrative expenses.

5. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, consequential, or incidental losses arising from delays, cancellations, or repossession of Materials. The Client’s sole remedy shall be limited to the return of any paid fees for Materials not delivered.

6. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England, Wales & Scotland and any disputes arising shall be subject to the exclusive jurisdiction of the courts of England, Wales & Scotland.
